Partner/Exhibitor Terms and Conditions 

By entering your email address, you are agreeing to the Terms & Conditions of this Agreement. This EXHIBITOR AGREEMENT (the “Agreement”) is entered into and made between National Events Partnership, LLC. (hereafter referred to as “Organizer) and the undersigned partner/supplier or any agent or person acting on the behalf of company referred to as “Exhibitor”). ‘Contract’ means a legally binding agreement accepted by the Organizer in accordance with the exhibitor space above.

All Contracts are subject to these Conditions and no variation or addition thereto shall be effective unless specifically agreed to in writing by the Organizer. Any other terms or conditions sought to be imposed by the Exhibitor are expressly excluded. Exhibitor options and rates are subject to revision at any time and the price prevailing at the time the Contract is made binds the Organizer only in respect of the agreed exhibitor space selected by the exhibitor and as confirmed by the Agreement. This Contract for Exhibit Space supersedes any and all other agreements between the Exhibitor and Organizer and shall constitute the entire agreement entered into by the parties. 



EXHIBITOR ASSIGNMENT: The Exhibitor’s campaign and space shall not be deemed as confirmed until the Organizer is in receipt of full payment. Placement is at the sole discretion of Organizer. Organizer will make best efforts to assign the size and location of Exhibitor’s choice; however, Organizer reserves the right to alter the publication and/or event floor plan and/or reassign the location of Exhibitor. In the event that Organizer must relocate an Exhibitor, Exhibitor shall receive a refund of the cost differential, if any, between the original and the relocated space. Exhibitor agrees that Organizer shall not be liable to Exhibitor for any other loss or damage suffered by Exhibitor by reason of placement. Exhibitor space is sold on a first-come basis and showcase locations will not be held without a signed contract and deposit.

EXHIBIT PROVISIONS. Exhibitor is contracting to participate in the showcase. Exhibit fees include one table (size varies), one chair, and table linen and table number. All other items will be at the expense of the Exhibitor should you need electricity, Internet, etc.

ATTENDEE LIST. A list of registered organization is available and included with Exhibit fee. Depending on showcase access level, Exhibitors may also obtain full contact list and meeting history. This list will be coded to enable Organizer to monitor its use. Exhibitor agrees that the list shall remain the property of Organizer, and Exhibitor agrees not to sell, lend, share or otherwise transfer the list to any other business or individual for any reason. Exhibitor agrees to only use the attendance list to promote the items that are contracted for on the face of this contract. No joint promotional marketing may be conducted with the attendee list. The Exhibitor agrees to be held liable for any unauthorized use of the list and that the damages to Organizer will be set at a dollar amount equal to?$1,000.00 for each unauthorized use.

SAFETY ISSUES. Exhibitor is charged with having knowledge of and compliance with all laws, ordinances, and regulations pertaining to licensing, sales tax, health, fire prevention, public safety, copyright, and the Americans with Disabilities Act. Exhibit materials, decorations and display items must be fire safe. If an exhibit does not comply with the regulations or otherwise presents a hazard or danger, Organizer may remove the exhibit with no liability for refund of exhibit fees.

PAYMENT. Payments must be made immediately followed by registration for Exhibit Space. If payments are not made when due, Organizer may terminate this Agreement and reassign space to another exhibitor. All payments are nonrefundable, and space reservations may not be canceled. Failure of Exhibitor to supply artwork for publication or occupy its exhibit space during the scheduled setup period for an event will result in forfeiture of the advertising space; however, Exhibitor shall remain responsible for full payment. Exhibitor shall not be permitted to bring any equipment or display any materials into an event without prior full payment.

DRAWINGS. Organizer will conduct all promotional activities, including drawings during the Showcase. Drawings, prizes or promotions are not mandatory by Exhibitor. All drawings, prizes or promotions must comply with any local, state and federal laws, ordinances and regulations. Prizes and drawings cannot promote non-exhibiting businesses.

LICENSE. The Exhibitor grants to the Organizer the express right to reproduce throughout the world screen shots of all or part of any Organizer’s property containing all or part of any of the advertising materials supplied by the Exhibitor to the Organizer on or in any promotional or advertising material or campaign promoting or advertising the Organizer.

LIABILITY & INDEMNIFICATION. Except where arising from the acts or omissions of the other party, each party to this Agreement shall indemnify, defend, and hold harmless the other party and its officers, directors, agents, employees, and owners from and against any and all demands, claims, damages to persons or property, losses, and liabilities, including reasonable attorneys’ fees (collectively, "Claims"), arising out of or caused by the indemnifying party’s negligence or willful misconduct in connection with the provision and use of Hotel as contemplated by this Agreement. This paragraph shall not waive any statutory limitations of liability available to either party, including innkeepers’ limitation of liability laws, nor shall it waive any defenses either party may have with respect to any Claim. If requested, Exhibitor shall provide proof of business liability insurance, and all necessary licenses and permits to operate said business.

EMERGENCY SITUATIONS. In the event of adverse weather conditions, fire casualty, disaster, labor disputes, acts of God, or any other emergency situations beyond the control of Organizer, Organizer will, at its discretion, reschedule and or procure alternate space for the show. Exhibitor agrees that the terms and conditions set forth in this agreement shall apply to any rescheduled date and/or relocation, and Organizer shall not be liable to Exhibitor for any loss or damage suffered by Exhibitor by reason of such rescheduling and/or relocation of the show.

LEGAL ACTION. In the event it becomes necessary for Organizer to institute legal action for any claim arising out of the terms and conditions of this contract or for the enforcement of the terms and conditions of this contract, Organizer, in addition to any damages or relief awarded, shall be entitled to receive interest at the rate of one and one-half percent per month from the date of breach, court costs and attorney’s fees of 100% of the total Exhibition fee.

AMERICANS WITH DISABILITIES ACT. Any Exhibitor requiring assistance under the Americans with Disabilities Act must notify Organizer in writing no later than 30 days prior to the Showcase.

GENERAL. Should any question arise whether provided for in these conditions or not, the decision of Organizer shall be final. In case any of the provisions of this Agreement shall be held to be invalid, illegal, or unenforceable, such invalidity, illegality, or unenforceability shall not affect the enforceability of any other provision of this Agreement. This Agreement shall be construed as if such provision or provisions had never been contained herein. These terms and agreements and all other express terms of the contract shall be governed and construed in accordance with the Laws of Minnesota and the Exhibitor submits to the non-exclusive jurisdiction of the State of Minnesota in connection with all disputes, claims or actions arising out of or in connection therewith.
